Basic requirements

Incorporation can start once these are in place. Huanchen confirms each item with you.

  • Director: at least one, aged 18 or above, any nationality or residence
  • Shareholder: at least one, individual or corporate; may also be the director
  • Company name: Chinese, English or both, subject to a name availability search
  • Share capital: standard HKD 10,000, no paid-up verification required
  • Registered office: a physical Hong Kong address, provided by Huanchen
  • Company secretary: a Hong Kong resident or licensed corporate body, provided by Huanchen
  • Significant Controllers Register (SCR) to be kept after incorporation

What to prepare

  • Proof of address issued within the last 3 months, such as a utility bill or bank statement
  • Shareholding percentages and capital contribution notes
  • Two to three proposed company names

ONGOING

Ongoing duties after incorporation

Compliance duties continue from the date of incorporation. Knowing them early is far better than fixing them later.

  • Annual return (NAR1): filed within 42 days after each incorporation anniversary
  • Business registration renewal: annually or every three years as stated on the certificate
  • Profits tax return: the first return is usually issued about 18 months after incorporation and must be filed on time
  • Annual audit: required every year for Hong Kong companies, performed by a Hong Kong CPA
  • Statutory updates: changes of directors, shareholders or addresses must be registered promptly

Frequently asked questions

Does the share capital need to be paid up?

No. Hong Kong share capital requires no verification. The standard HKD 10,000 is nominal and can be increased later as the business grows.

What if I have no Hong Kong address or company secretary?

Both are included in the first-year service provided by Huanchen, so no separate arrangement is needed.

Can a Hong Kong company operate directly in mainland China?

Not directly. Mainland operations require a separate presence such as a WFOE or a representative office. Huanchen outlines suitable structures based on your business model.

Does incorporation guarantee a bank account?

No. Incorporation and account opening are two separate processes. Banks decide independently under their own compliance policies. Huanchen prepares documents and supports the process without promising any outcome.

How long does the process take?

Electronic filing typically yields certificates in 1–3 working days; paper filing takes about 5–7 working days. Once documents are complete, filing can be arranged the same day.
