What the annual review covers

The annual review is two statutory filings plus ongoing arrangements. Huanchen handles each item and keeps proof of every submission.

  • Annual return (NAR1): filed with the Companies Registry within 42 days after the incorporation anniversary, confirming the latest directors, shareholders, secretary and registered office
  • Business Registration (BR) renewal: paid to the Inland Revenue Department, available as a one-year or three-year certificate; a demand note is issued by the IRD before expiry
  • Annual general meeting (AGM): required under the Companies Ordinance and the articles; a private company may pass a written resolution instead of holding a meeting
  • Company secretary continuity: the office of secretary must never be vacant and must be held by a Hong Kong resident or a licensed corporate body
  • Registered office continuity: the registered office must remain valid for receiving government notices and legal documents
PENALTIES

The cost of being late

Late filing becomes more expensive the longer it is left, and may lead to prosecution. Catching up early is the cheapest option.

  • The late registration fee for NAR1 rises with the delay: HK$870 once the filing is more than 42 days late, increasing in steps to HK$3,480 when more than nine months late
  • Late BR renewal: the IRD may impose a HK$300 penalty, and serious cases may be prosecuted
  • The company and its officers may both be prosecuted and fined for late delivery of an annual return
  • Persistently non-compliant companies risk being struck off the register, and their bank accounts may be frozen

DISTINCTION

Annual review is not an audit

The two are often confused. They involve different authorities, different documents and different deadlines.

  • Annual review: the NAR1 filed with the Companies Registry and the BR renewed with the IRD — registry updates that every company must complete whether or not it trades
  • Accounting and audit: financial statements audited by a Hong Kong CPA firm, filed with the IRD together with the profits tax return
  • The first profits tax return is usually issued about 18 months after incorporation and annually thereafter; it must be filed on time
  • A company with no business may report dormant status for tax purposes, but the annual review obligation remains unchanged

Documents and turnaround

FAQ

Frequently asked questions

My company is not trading. Do I still need the annual review?

Yes. Until the company is formally deregistered, the NAR1 and BR renewal are due every year regardless of activity. If the company is no longer needed, formal deregistration may be the better route.

When does the 42-day NAR1 window start?

It runs from the anniversary of the incorporation date shown on the Certificate of Incorporation. A company incorporated on 15 March must file by 26 April each year.

Should I choose a one-year or three-year BR?

The three-year certificate usually costs slightly less in total and suits businesses committed to operating long term; the one-year certificate is more flexible. The IRD issues a demand note before expiry, and Huanchen pays it according to your choice.

What if my filings are already overdue?

File as soon as possible. The NAR1 late fee increases with the delay, and late BR renewal adds a HK$300 penalty plus prosecution risk. Huanchen can expedite the catch-up filings and assess any prosecution notices received.
