Basic requirements

- Director: at least one, individual or corporate, any nationality or residence
- Shareholder: at least one; the director may also be the shareholder; the register is not public
- Share capital: standard USD 50,000 in no-par-value shares, no paid-up requirement
- Registered agent: a licensed BVI registered agent, arranged by Huanchen
- Registered office: located in the BVI, provided by the registered agent
- Company name: primarily English, with an optional Chinese name, subject to a name search
- Economic substance: annual classification and reporting depending on activities

What to prepare

Ongoing duties after incorporation
BVI maintenance is relatively simple, but annual duties cannot be ignored; late payment leads to penalties or strike-off.
- Annual licence fee: paid to the BVI Financial Services Commission each year
- Registered agent renewal: agent and office services renewed annually
- Economic substance reporting: annual classification and filing, assisted by Huanchen
- Financial records: accounting records must be kept, and the annual financial return must reach the registered agent within 9 months of the financial year end
- Changes: changes of directors, shareholders or the constitution must be registered promptly

Frequently asked questions
Does a BVI company pay tax?
The BVI does not levy income or capital gains tax on offshore income, but the company must still complete economic substance reporting. The actual tax position depends on the business substance and the tax residence of the parties involved. Huanchen explains this honestly before setup.
Are directors and shareholders public?
The register of members is not public. The register of directors is filed with the Registry but is not searchable by the public. Beneficial ownership is reported through a secure system accessible only to competent authorities.
Can a BVI company open a bank account in Hong Kong or mainland China?
It can apply. Banks decide independently under their own compliance policies, and offshore companies usually face stricter review. Huanchen prepares documents and supports the process without promising any outcome.
What does annual maintenance include?
